1. The agreement
These terms are an agreement between you and Lipivo ("Lipivo", "we", "us") for the use of the Lipivo website, dashboard, voice agents and voice API (the "Service"). By creating an account or using the Service you accept them, along with our Privacy policy, Acceptable use policy and Cancellation and refund policy.
If you use the Service for a company, you confirm you may bind it to these terms, and "you" means that company. A separate signed order or enterprise agreement takes precedence over these terms where they differ.
2. Your account
- You must be at least 18 and give accurate details when you sign up.
- Keep your password, sign-in codes and API keys secret. You are responsible for everything done with your account and keys, including by teammates you invite.
- Tell us at once if you think your account or a key has been misused. You can revoke API keys at any time from the dashboard.
3. Using the Service
We grant you a non-exclusive, non-transferable right to use the Service for your business during your subscription, within your plan's limits.
You must not: copy, resell or sublicense the Service except as these terms allow; reverse engineer it; get around limits, billing or safety checks; overload or attack it; or use it to build a competing product from our outputs.
Everything in the Acceptable use policy applies. We may refuse requests that break it.
4. Calls, messages and the law
You decide whom your agents call and message, and what they say. You are responsible for following the laws that apply to you, including:
- TRAI's Telecom Commercial Communications Customer Preference Regulations: calling hours, the National Do Not Call registry and consent for promotional calls.
- Telling people when they are talking to an automated agent where the law or fairness requires it.
- The DPDP Act: a lawful basis and notice for the personal data your agents handle.
- WhatsApp's Business and Commerce policies, and the terms of the phone provider you connect.
The Service adds safeguards (calling hours of 9 am to 9 pm India time, do-not-call lists, scam checks), but they do not replace your own compliance.
5. Your content and data
You own the content you put into the Service (prompts, documents, contact lists) and the outputs your agents and API requests produce. You give us permission to host, process and transmit it only to provide and secure the Service.
For callers' personal data, we act as your Data Processor, as described in the Privacy policy. We do not use your content or conversations to train AI models.
You confirm you have the rights and consents needed for the content you upload, including documents in a knowledge base and any voice you clone.
6. Voices and AI output
A voice may be cloned only with the recorded consent of the person whose voice it is, through the consent check in the dashboard. A cloned voice can be used only by the account that made it.
AI output can be wrong, incomplete or unexpected. Test your agents before you put them in front of customers, review their conversations, and do not rely on them for medical, legal, financial or emergency decisions without a person checking.
7. Third-party services
The Service works with services you connect, such as phone providers, WhatsApp, AI model providers when you add your own key, and your own APIs. Your use of them is governed by their terms, you pay them directly, and we are not responsible for their availability or actions.
8. Fees, credits and taxes
- Usage is charged in credits: speech by characters and seconds of audio, and agents on our built-in AI models by tokens, at the prices on our Pricing page.
- Plans include credits each billing period; credit packs add credits on top. When credits run out, requests and agents on our models stop until you add more.
- Prices are in Indian rupees and exclude GST, which is added at the applicable rate (currently 18%).
- We may change prices with at least 30 days' notice; changes apply from your next billing period.
Cancellations and refunds are covered by the Cancellation and refund policy.
9. Suspension and termination
You can stop using the Service and close your account at any time.
We may suspend or close an account, without notice where needed to prevent harm, if it breaks these terms or the Acceptable use policy, puts people or the Service at risk, does not pay, or if the law requires it. Where we reasonably can, we will tell you why and give you a chance to fix the problem.
When an account closes, your right to use the Service ends. You can export your data before then; afterwards we delete it as described in the Privacy policy.
10. Disclaimers
We work to keep the Service available and accurate, but it is provided "as is" and "as available". To the extent the law allows, we do not promise that it will be uninterrupted, error-free, or fit for a particular purpose. Uptime commitments, where agreed, are in an enterprise agreement.
11. Limitation of liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential losses, or for lost profits, revenue or data.
Our total liability arising from these terms in any 12 months is limited to the amount you paid us in those 12 months. These limits do not apply to liability that cannot be limited by law.
12. Indemnity
You will defend and compensate us against claims by third parties arising from your content, the calls and messages your agents make, or your breach of these terms or the law.
13. Changes to these terms
We may update these terms. For significant changes we will give account owners at least 15 days' notice by email or in the dashboard. Continuing to use the Service after a change takes effect means you accept it.
14. Governing law and disputes
These terms are governed by the laws of India. We will first try to settle any dispute by talking. Otherwise, the courts at Bengaluru, Karnataka have exclusive jurisdiction.
